r， at his option or at the option of his legal representative， in lieu of interest， the profits attributable to the use of his right in the property of the dissolved partnership as against the separate creditors， or the representative of the retired or deceased partner， shall have priority on any claim arising under this section， as provided by Section 41（8）

　　第四十二条 已退休合伙人或已故合伙人的不动产在合伙业务继续经营时享有的权利在有合伙人退休或死亡，合伙业务根据本法41（1，2，3，5，6）或38（2b）的规定得以继续经营，而且未对该已退休（或已故）合伙人或其不动产与继续经营合伙业务的人或合伙组织之间的帐目进行处置的情况下，除非另有协议，则该已退休合伙人或已故合伙人的合法代表人与继续经营合伙业务的人或合伙组织相比，可以自确定的合伙解散之日起，享有其对合伙所享有利益的价值，并且其作为合伙组织的普通债权人应该收到相当于其对已解散合伙组织所享有利益的价值的数额及其利息，或者该已退休合伙人或已故合伙人的合法代表人可以另做选择，即相对于其个人债权人或已退休或已故合伙人的代表人而言，因行使该已退休或已故合伙人对已解散合伙的财产所享有的权利而获得的利润，根据本法41（8）的规定，应该优先于根据本条规定而产生的任何要求。

　　§43. Accrual of Action The right to an account of his interest shall accrue to any partner， or his legal representative， as against the winding up partners or the surviving partners or the person or partnership continuing the business， at the date of dissolution， in the absence of any agreement to contrary.

　　第四十三条 权利的产生自合伙解散之日起，除有相反协议，则对执行清算事务的合伙人或未退伙合伙人或继续经营合伙业务的人或合伙组织而言，任一合伙人或其法定代理人应有权查阅其对合伙组织所享有的利益的帐目。
