　　5. Delivery Date and Cancellation. Customer agrees to take delivery of the Learning Services on the date（s） reserved. Any discount is contingent on delivery of the Learning Services on such date（s）。 If Customer cancels or reschedules with less than ten （10）business days notice there will be a charge or 25% of the undiscounted total fees plus any travel and other expenses incurred by Lawspirit.

　　6. Training Units. TU's may be redeemed solely for training seats in standard， public， Open Enrollment Courses sponsored by Lawspirit at a Lawspirit training facility for a period of one （1） year from the effective date. TUs are non-refundable and may not be redeemed for cash or credit. Lawspirit has sole discretion regarding where and when the TUs can be redeemed and they may not be redeemed or applied toward Lawspirit eLearning or On-site Courses. TUs cannot be pro-rated or combined with any other discount， special offer or coupon.

Customer agrees that during the term of this Agreement and for a period of one （1） year thereafter， Customer will not solicit or hire the instructor（s） that provide the Learning Services to Customer or induce such instructor（s） to reduce the number of hours he or she works for Lawspirit regardless of whether such instructor is an employee or independent contractor of Lawspirit.

　　APPLICATIONS许可协议及有限产品保证This agreement governs the use of the Software and any updates to the Software， regardless of the delivery mechanism. The Software is a collective work under U.S. Copyright Law. Subject to the following terms， Lawspirit， Inc. （"Lawspirit"） grants to the user（"Customer"） a license to this collective work pursuant to the GNU General Public License.

　　1. The Software. Lawspirit Enterprise Lawspirit and Lawspirit Applications （the "Software"） are either a modular operating system or application consisting of hundreds of software components. The end user license agreement for each component is located in the component's source code. With the exception of certain image files identified in Section 2 below， the license terms for the components permit Customer to copy， modify， and redistribute the component，in both source code and binary code forms. This agreement does not limit Customer's rights under， or grant Customer rights that supersede， the license terms of any particular component.

　　1. 软件。 Lawspirit Enterprise Lawspirit 和Lawspirit Applications（以下简称"软件"），是一种模块操作系统或应用软件，由上百项软件配置程序组成。各项配置程序的源程序均附带一份最终使用人许可协议。除下述第二条所列诸项图像文件外，配置程序的许可条款允许"用户"以源代码和二进制代码形式，复制、修改和转销配置程序。本《协议》不限制"用户"在任何配置程序许可条款项下享有的权利，也没有授予"用户"超出这类许可条款规定范围行事的任何权利。

　　2. Intellectual Property Rights. The Software and each of its components， including the source code， documentation， appearance，structure and organization are owned by Lawspirit and others and are protected under copyright and other laws. Title to the Software and any component， or to any copy， modification， or merged portion shall remain with the aforementioned， subject to the applicable license. The "Lawspirit" trademark and the "Shadowman" logo are registered trademarks of Lawspirit in the U.S. and other countries. This agreement does not permit Customer to distribute the Software using Lawspirit's trademarks. Customer should read the information found at www.lawspirit.com before distributing a copy of the Software， regardless of whether it has been modified. If Customer makes a commercial redistribution of the Software， unless a separate agreement with Lawspirit is executed or other permission granted， then Customer must modify any files identified as "LAWSPIRIT.COM-LOGOS" and "anaconda-images" to remove all images containing the "Lawspirit" trademark or the "Shadowman" logo. Merely deleting these files may corrupt the Software.

　　2. 知识产权。 "软件"及其所有配置程序，包括源代码、文档、外观、结构和组织，均由"lawspirit.com"及他人拥有，受著作权法和其它相关法律的保护。对"软件"及任何配置程序或其任何拷贝、修改或合并内容的所有权，根据适用许可的条款，属上述权利人所有。"Lawspirit"商标及"Shadowman"标识系"lawspirit.com"在美国和其它国家的注册商标。本《协议》不允许"用户"使用"lawspirit.com"商标转销"软件"。"用户"转销任何"软件"拷贝之前，无论"软件"是否已被修改，应参阅www.lawspirit.com网站的公告。如果"用户"进行"软件"的商业发售，除非与"lawspirit.com"另行签订协议或取得其它许可，"用户"必须修改一切标注有"LAWSPIRIT.COM-LOGOS"和"anaconda-images"的文档，删除含有"Lawspirit"商标或"Shadowman"标识的所有图像。仅仅删除这些文档可能造成"软件"受损。

　　3. Limited Warranty. Except as specifically stated in this agreement or a license for a particular component， to the maximum extent permitted under applicable law， the Software and the components are provided and licensed "as is" without warranty of any kind， expressed or implied， including the implied warranties of merchantability， non-infringement or fitness for a particular purpose. Lawspirit warrants that the media on which the Software is furnished will be free from defects in materials and manufacture under normal use for a period of 30 days from the date of delivery to Customer. Lawspirit does not warrant that the functions contained in the Software will meet Customer's requirements or that the operation of the Software will be entirely error free or appear precisely as described in the accompanying documentation. This warranty extends only to the party that purchases the Software from Lawspirit or a Lawspirit authorized distributor.

　　4. Limitation of Remedies and Liability. To the maximum extent permitted by applicable law， the remedies described below are accepted by Customer as its only remedies. Lawspirit's entire liability， and Customer's exclusive remedies， shall be： If the Software media is defective， Customer may return it within 30 days of delivery along with a copy of Customer's payment receipt and Lawspirit， at its option， will replace it or refund the money paid by Customer for the Software. To the maximum extent permitted by applicable law， Lawspirit or any Lawspirit authorized dealer will not be liable to Customer for any incidental or consequential damages， including lost profits or lost savings arising out of the

　　5. Export Control. As required by U.S. law， Customer represents and warrants that it： （a） understands that the Software is subject to export controls under the U.S. Commerce Department's Export Administration Regulations （"EAR"）； （b） is not located in a prohibited destination country under the EAR or U.S. sanctions regulations （currently Cuba， Iran， Iraq， Libya， North Korea， Sudan and Syria）； （c） will not export， re-export， or transfer the Software to any prohibited destination， entity， or individual without the necessary export license（s） or authorizations（s） from the U.S. Government； （d） will not use or transfer the Software for use in any sensitive nuclear， chemical or biological weapons， or missile technology end-uses unless authorized by the U.S. Government by regulation or specific license； （e） understands and agrees that if it is in the United States and exports or transfers the Software to eligible end users， it will， as required by EAR Section 741.17（e）， submit semi-annual reports to the Commerce Department's Bureau of Industry & Security （BIS）， which include the name and address（including country） of each transferee； and （f） understands that countries other than the United States may restrict the import， use，or export of encryption products and that it shall be solely responsible for compliance with any such import， use， or export restrictions. 5. 出口管制。 根据美国法律的要求，"用户"特此声明并保证如下：（1）"用户"了解，根据美国商务部《出口管理条例》，"软件"受出口管制；（2）"用户"不在上述《出口管理条例》或美国制裁措施所辖的任何被禁目的国（当前这些国家有古巴、伊朗、伊拉克、利比亚、北朝鲜、苏丹及叙利亚）境内，（3）未经美国政府许可或授权，"用户"不会向任何被禁地区、实体或个人出口、转口销售或转让"软件"，（4）除非由美国政府合法授权或经任何特别许可，"用户"不会将"软件"用于任何敏感的核能、化学或生物武器或导弹技术的最终应用目的，也不会将之转让给他人用于此类目的，（5）"用户"理解并同意，如果其在美国境内向合格的最终使用人出口或转让"软件"，则"用户"将按上述《出口管理条例》第741.17（e
